Terms of Service

1. Our Service

Ryan Spelts Company dba Melty Sites builds and hosts websites for home service businesses.

Your website build is included at no upfront design or development cost when you subscribe to an eligible Melty Sites business plan.

Your monthly business plan may include services such as:

• Website hosting
• Website security
• Website maintenance
• Website updates
• Forms and lead capture
• CRM tools
• Scheduling tools
• Email tools
• Automations
• Other business tools included with your selected plan

Features vary by plan and may change as our services improve.

There is no long-term service contract unless otherwise agreed to in writing.

You may cancel your monthly plan at any time.

2. Subscriptions and Billing

Melty Sites business plans are billed monthly through Stripe or another approved payment processor.

Your subscription will automatically renew each month until canceled.

Optional services and add-ons may be billed alongside your monthly plan or separately.

By subscribing, you authorize Melty Sites and its payment processor to charge the payment method associated with your account.

3. Cancellation

You may cancel your Melty Sites business plan at any time.

There is no cancellation fee.

Your services will remain active through the end of your current paid billing period.

After your paid billing period ends:

• Your Melty Sites subscription will end.
• Melty Sites hosting, maintenance, security, and included business tools will end.
• Your website may be unpublished unless you complete a website transfer.
• Connected services provided through Melty Sites may stop functioning.

Canceling your subscription does not automatically transfer the website to you.

Website transfers are covered separately below.

4. Website Buyout and Transfer

Melty Sites invests in the design and development of your website upfront as part of your monthly business plan.

If you cancel your subscription and want to transfer your website to your own Replit hosting account, an early website buyout and transfer fee may apply.

During the First Year (Fewer Than 12 Monthly Payments)

If fewer than 12 monthly business plan payments have been completed:

Existing Starter subscribers only — website buyout and transfer fee: $750

Growth website buyout and transfer fee: $1,500

Scale website buyout and transfer fee: $1,500

During the Second Year (12 to 23 Monthly Payments)

Once at least 12 monthly business plan payments have been completed, but fewer than 24 payments have been completed:

Existing Starter subscribers only — website buyout and transfer fee: $400

Growth website buyout and transfer fee: $750

Scale website buyout and transfer fee: $750

After 24 Monthly Payments

Once at least 24 monthly business plan payments have been completed:

Website Buyout and Transfer Fee: $0

Optibot

Optibot is not subject to an early buyout fee. You may cancel Optibot by providing 30 days’ notice, and Optibot services will remain active through the notice period.

You may request a transfer at any time.

Payment of a website buyout or transfer fee does not require you to continue your Melty Sites subscription.

The number of completed monthly payments, rather than the amount of calendar time that has passed, determines the applicable transfer fee.

5. What a Website Transfer Includes

When technically possible, Melty Sites will assist with transferring the customer-specific website project to a Replit account controlled by you.

A transfer may include applicable:

• Website project files
• Website content
• Images
• Customer-specific code
• Website database information
• Domain configuration information
• Forms
• CRM connections
• Automations
• Payment integrations
• Third-party service connections

Not every service can be directly transferred.

Some services may need to be recreated, reconnected, or purchased separately.

You may also need to create your own accounts with Replit or other third-party providers.

6. What Is Not Included in a Transfer

A website transfer does not transfer ownership of Melty Sites' proprietary business systems, reusable code, internal software, templates, processes, tools, intellectual property, or technology used across multiple Melty Sites customers.

Third-party software, licenses, subscriptions, APIs, plugins, services, and integrations are subject to the terms of their respective providers.

You may be required to purchase your own subscriptions or licenses to continue using those services after a transfer.

Once your website has been transferred away from Melty Sites, Melty Sites is no longer responsible for its hosting, maintenance, backups, security, uptime, updates, integrations, or continued operation unless you purchase those services separately.

7. Your Content

You retain ownership of the business content you provide to Melty Sites, including your:

• Business name
• Logo
• Photos
• Videos
• Written content
• Business information
• Customer information
• Brand assets
• Other materials you provide

You grant Melty Sites permission to use, modify, format, and display these materials as reasonably necessary to build, maintain, market, and operate your website and services.

You are responsible for ensuring that you have the right to use any content you provide to us.

8. Domains

Whenever possible, we encourage customers to maintain ownership and control of their business domain name.

If Melty Sites assists with purchasing, configuring, or managing a domain on your behalf, ownership and transfer of that domain may also be subject to the policies of the applicable domain registrar.

Domain registration and renewal fees may be billed separately unless your plan specifically states otherwise.

9. Melty Sites Website Technology

While you maintain ownership of the content and materials you provide, Melty Sites retains ownership of its underlying systems, processes, templates, reusable code, software, tools, design systems, and intellectual property.

During an active subscription, Melty Sites grants you the right to use the website and included technology as part of your business plan.

If your website is transferred under Section 4, you receive the right to use the transferred customer-specific website files for your business.

This does not give you ownership of Melty Sites' broader platform, reusable technology, internal systems, or intellectual property.

10. Website Retention After Cancellation

If you cancel your subscription without transferring your website, Melty Sites may retain your website project for up to 90 days after your service ends.

During this period, you may request a website transfer and pay any applicable transfer fee.

After 90 days, Melty Sites may permanently delete website files, databases, configurations, and related account information that we are not otherwise required to retain.

We cannot guarantee recovery of a website after this retention period.

11. Failed Payments

If a subscription payment fails, we may attempt to charge your payment method again.

If payment is not received, Melty Sites may suspend or disable services associated with your account, including your website.

We may restore service after outstanding amounts are paid.

Repeated failed payments may result in cancellation of your account.

12. Refunds

Monthly subscription payments are generally non-refundable once a billing period begins.

Canceling your subscription prevents future monthly charges but does not normally result in a refund for the current billing period.

Any exceptions are made at Melty Sites' discretion unless otherwise required by law.

13. Third-Party Services

Melty Sites websites may connect with third-party platforms such as:

• Replit
• Stripe
• Domain registrars
• Email providers
• CRM systems
• Scheduling platforms
• Analytics platforms
• Social networks
• Advertising platforms
• Automation platforms
• Other business software

These services are operated by independent companies and may have their own terms, privacy policies, fees, limitations, and availability.

Melty Sites is not responsible for outages, changes, pricing changes, data loss, or service interruptions caused by third-party providers.

14. Customer Responsibilities

You are responsible for providing accurate information and materials needed to create and operate your website.

You are also responsible for ensuring that your business activities, website content, advertisements, offers, and customer communications comply with applicable laws and regulations.

Melty Sites may refuse to publish or may remove content that we reasonably believe is unlawful, harmful, deceptive, infringing, or inappropriate.

15. Service Availability

We work to keep Melty Sites websites and services available and operating properly.

However, no website or online service can be guaranteed to operate without interruption.

Maintenance, software updates, security events, internet outages, third-party failures, or circumstances outside of our control may occasionally affect availability.

16. Changes to Our Services

Melty Sites may improve, replace, remove, or modify features of its services over time.

We may also change plan features or pricing.

If the price of your recurring business plan changes, we will provide reasonable notice before the new price applies to your subscription.

17. Limitation of Liability

To the fullest extent permitted by law, Melty Sites will not be liable for indirect, incidental, special, consequential, or lost-profit damages arising from the use or inability to use our services.

Our total liability relating to your Melty Sites services will not exceed the amount you paid to Melty Sites during the six months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits rights or remedies that cannot legally be limited.

18. No Guarantee of Business Results

Melty Sites provides websites, technology, marketing tools, and related services.

We do not guarantee specific rankings, leads, sales, revenue, traffic, customer acquisition, or other business results.

Business performance depends on many factors outside of Melty Sites' control.

19. Changes to These Terms

We may update these Terms from time to time.

When material changes are made, we will update the "Last updated" date above and may provide additional notice when appropriate.

Your continued use of Melty Sites after updated Terms become effective constitutes acceptance of the revised Terms.
